These Terms of Use govern your access to and use of Vitral, a flexible and modular platform designed to integrate various AI tools and services into a unified interface, referred to as “Workspace.” Whether for personal or professional applications, our platform is designed to enhance productivity by facilitating complex workflows and efficient data management within this integrated environment (collectively, “Services”).

1. Acceptance of Terms

By accessing or using Vitral, you agree to be bound by these Terms of Use and our Privacy Policy, which are the most critical documents governing your use of the platform. These, along with all other relevant policies, are available for your review in our Policy Hub. If you do not agree to these terms, please do not use the platform.

2. Modifications to Terms

We may revise these Terms of Use at any time. We will notify you of significant changes by posting the updated terms on our website. Your continued use of the platform after any changes constitutes your acceptance of the new terms.

3. Who We Are

We are a US tech company incorporated in Delaware, aiming to innovate and take advantage of AI related technologies by developing products and offering solutions for different markets. Our flagship product is an AI based platform which helps to organize workflows by providing access to a variety of AI tools in the same workspace. 4. Registration and Access

Age Restrictions

  1. Minimum Age Requirement:
    • You must be at least 13 years old to use our Services.
    • If the minimum age to consent to digital services in your country is higher than 13, you must meet that age requirement.
  2. Parental Consent:
    • If you are between 13 and the age of majority in your country, you must have permission from a parent or legal guardian to use our Services.
  3. Verification:
    • We reserve the right to request proof of age and/or parental consent at any time.
    • If we discover that a user does not meet the age requirements, we may terminate their account.
  4. Responsibility:
    • By using our Services, you confirm that you meet these age requirements.
    • Parents or guardians who permit minors to use the Services are responsible for their online conduct and compliance with our terms.
  5. Regional Variations:
    • We comply with local laws regarding the digital age of consent. In some countries, this may result in higher age restrictions or additional requirements.

Registration

You must provide accurate and complete information to register for an account to use our Services. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account. If you create an account or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.

5. Using Our Services

What You Can Do

Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws as well as our Sharing and Publication Policy, Privacy Policy, and any other guidelines, or policies we make available to you.

What You Cannot Do

You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:

  • Use our Services in a way that infringes, misappropriates or violates anyone’s rights.
  • Modify, copy, lease, sell or distribute any of our Services.
  • Attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of our Services, including our models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).
  • Automatically or programmatically extract data or Output.
  • Represent that Output was human-generated when it was not.
  • Interfere with or disrupt our Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Services.

Software

Our Services allow you to access and integrate a variety of AI tools and platforms, which may update automatically to ensure you’re always using the latest version. Some of these tools and platforms may include third-party or open-source software, which is governed by their own licenses and privacy policies.

Given the dynamic nature of our platform, we do not maintain or publish a comprehensive list of all third-party tools or their associated terms and policies. However, when you interact with a third-party tool within our platform, you will typically be prompted to accept or acknowledge its specific terms and conditions. We strongly encourage you to review these terms and privacy policies as they become available within the respective tool or service interface.

By using our platform, you acknowledge that it is your responsibility to review the terms, licenses, and privacy policies of any third-party or open-source software you choose to use. We do not control these third-party services and are not responsible for their content, privacy practices, or terms.

Corporate Domains

If you create an account using an email address owned by an organization (for example, your employer), that account may be added to the organization's business account with us, in which case we will provide notice to you so that you can help facilitate the transfer of your account. Once your account is transferred, the organization’s administrator will be able to control your account, including being able to access Content and restrict or remove your access to the account.

Third Party Services

Our platform may incorporate or allow access to third-party software, products, or services (collectively, “Third Party Services”). Additionally, certain features of our Services, such as web browsing or data processing, may produce outputs that originate from or are influenced by these Third Party Services (“Third Party Output”).

Third Party Services and Third Party Output are governed by their own terms and conditions, which are separate from our Terms of Use. We encourage you to review the applicable terms and privacy policies for any Third Party Services you use through our platform. Please note that we do not control, endorse, or assume responsibility for the content, functionality, or practices of any Third Party Services or Third Party Output.

By using our platform, you acknowledge that interactions with these Third Party Services are at your own risk and discretion.

Feedback

We value your feedback and would be grateful for the opportunity to use it to improve our services. By providing feedback, you grant us permission to use it without restriction or compensation. We appreciate your understanding and collaboration in this regard.

6. Content

Your Content

You may provide input to the Services (“Input”), and receive output from the Services based on the Input (“Output”). Input and Output are collectively “Content.” You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.

Ownership of Content

As between you and Vitral AI and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

Similarity of Content

Due to the nature of our Services and artificial intelligence generally, output may not be unique and other users may receive similar output from our Services. Our assignment above does not extend to other users’ output or any Third Party Output.

Our Use of Content

We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe.

Use of Content Data for Training

Vitral utilizes Large Language Models (LLMs) provided by third-party vendors. It is important to note that Vitral itself does not train or retrain any AI models using the data input by users. However, the LLM providers we work with may collect and use data input through their APIs for the purpose of improving their models, in accordance with their own data usage and privacy policies.

By using Vitral, you acknowledge and agree that your data may be processed by these third-party providers. We strongly encourage you to review the data usage policies of each provider to understand how they handle your information:

Vitral is not responsible for the data handling practices of these providers. If you have any concerns regarding data usage, please consult the policies above or contact the respective provider directly.

Accuracy

Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts.

When you use our Services you understand and agree:

  • Output may not always be accurate. You should not rely on Output from our Services as a sole source of truth or factual information, or as a substitute for professional advice.
  • You must evaluate Output for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing Output from the Services.
  • You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
  • Our Services may provide incomplete, incorrect, or offensive Output that does not represent Vitral’s views. If Output references any third party products or services, it doesn’t mean the third party endorses or is affiliated with Vitral.

7. Our IP Rights

We and our affiliates own all rights, title, and interest in and to the Services. You may only use our name and logo in accordance with our Brand Guidelines.

8. Payment and Credit System

1. Payment System Overview

Vitral operates on a pay-as-you-go credit system, enabling users to purchase and consume language model (LLM) services flexibly. Users purchase credits in advance, which are then used to pay for LLM token consumption and agent usage on the platform.

Credits can be purchased directly through the user’s account dashboard, and the cost of LLM services is deducted from the user’s available credit balance as they are consumed.

2. Purchasing Credits

Users can purchase credits through their Vitral account. Various credit packages are available, with payment accepted via major credit cards and other supported payment methods.

Upon purchasing credits, they are immediately available for use across all LLM and agent services on Vitral. The value of the credits is fixed, with $1 equating to one Vitral credit.

3. Token Consumption

Whenever a user interacts with a language model (LLM) or agent on Vitral, the tokens consumed during that interaction are calculated in real-time, and the corresponding cost is deducted from the user's available credits. The cost per token varies depending on the specific provider and model, as detailed in the pricing table.

4. Monitoring Usage and Costs

Users can monitor their token usage and overall spending through their Vitral account dashboard. Detailed logs and summaries are provided to help users track their consumption and manage their credits effectively.

5. Low Credit Balance Notifications

Vitral will notify users when their credit balance is running low. If a user's balance reaches zero, access to paid LLM services will be suspended until additional credits are purchased.

6. Expiration of Credits

Purchased credits on Vitral do not expire, allowing users to utilize their balance at their own pace without time restrictions.


Promotional Credits and Free Trial

1. Overview of Promotional Credits

New users are eligible to receive up to $8 in free credits to explore and utilize Vitral’s LLM and agent services. These credits are provided to allow users to test the platform’s capabilities without any initial financial commitment.

2. Allocation of Promotional Credits

  • Initial $2 Credit: Upon account registration, every user automatically receives $2 in free credits. These credits can be used immediately across all LLM and agent services offered by Vitral.
  • Additional $6 Credit: After consuming the initial $2 credit, users can unlock an additional $6 in free credits by adding a valid payment method to their account. This ensures that users have access to extended trials while also providing a smooth transition to paid services if desired.

3. Usage of Promotional Credits

Promotional credits function the same as purchased credits and can be used across all LLM and agent services.

4. Promotional Credit Limitations

  • Promotional credits cannot be transferred, redeemed for cash, or used to purchase additional credits.
  • Once the $8 promotional credits are exhausted, users must purchase additional credits to continue using Vitral’s services.
  • Vitral reserves the right to modify or discontinue the promotional credit offer at any time, with or without notice.

5. Expiration of Promotional Credits

Promotional credits are valid for 60 days from the date of allocation. After this period, any unused promotional credits will expire and be removed from the user’s account.

6. Small Print and Special Conditions

  • The initial $2 credit is provided without requiring any payment method. However, to receive the additional $6 credit, users must add a valid credit card or payment method to their account.
  • The promotional credits are intended to allow users to explore Vitral’s offerings and get acquainted with the platform’s features. Abuse of the promotional credit system, such as creating multiple accounts to gain additional free credits, is prohibited and may result in account suspension.

Changes to Token Prices

The cost of tokens for specific models, AI agents, and other services within Vitral may change at any time without prior notice. These changes can reflect various factors, including but not limited to updates to the underlying technology, market conditions, or service enhancements.

Users are responsible for staying informed about the current token prices for the models and services they intend to use. Token prices will be reflected in real-time within the platform, and any changes will apply immediately.

Credits you have purchased will remain in your account at their original value, but the number of tokens you can purchase with those credits may vary based on the current token prices. By continuing to use Vitral’s services after a token price change, you agree to the new pricing structure.

9. Termination and Suspension

Termination

You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine:

  • You breached these Terms or our Usage Policies.
  • We must do so to comply with the law.
  • Your use of our Services could cause risk or harm to Vitral AI, our users, or anyone else.

We also may terminate your account if it has been inactive for over a year and you do not have a paid account. If we do, we will provide you with advance notice.

Appeals

If you believe your account has been suspended or terminated in error, you may file an appeal by using our contact form available on the Support Section of our website. Please provide all relevant details, and our Support team will review your case and respond accordingly.

Discontinuation of Services

We may decide to discontinue our Services, but if we do, we will give you advance notice and a refund for any prepaid, unused Services.

Arbitration and Dispute Resolution

  1. Agreement to Arbitrate: By using our AI-based platform, you agree that any disputes or claims arising from or related to the platform, including its services and terms, will be resolved through binding arbitration. This means that disputes will be settled outside of court by an impartial arbitrator, rather than by a judge or jury.
  2. Scope of Arbitration: This arbitration agreement applies to all types of disputes, including those related to data privacy, intellectual property, content ownership, and service performance.
  3. Process: If a dispute arises, you must first submit a written notice of the issue to the platform. Both parties will attempt to resolve the dispute amicably within 30 days of receiving the notice. If the dispute remains unresolved, it will proceed to arbitration in accordance with the rules of a recognized arbitration institution, such as the American Arbitration Association (AAA).
  4. Arbitration Location and Fees: The arbitration will take place in the state of Delaware, United States. Unless otherwise agreed by both parties or determined by the arbitrator, the arbitration fees will be shared equally between you and the platform. However, the arbitrator may allocate fees differently based on the circumstances of the dispute and in accordance with the applicable arbitration rules.
  5. Governing Law: The arbitration process, as well as any related proceedings, will be governed by the laws of the state of Delaware, except where preempted by applicable federal law.
  6. Exceptions to Arbitration: Both you and the platform retain the right to bring claims in small claims court or seek injunctive relief in court for matters relating to intellectual property or unauthorized use of the platform.
  7. Confidentiality: All aspects of the arbitration, including the proceedings, outcome, and any settlement discussions, will be kept confidential, except as required by law.
  8. Finality of Arbitration: The arbitrator's decision will be final and binding on both parties. Judgment on the arbitration award may be entered in any court with jurisdiction.
  9. Opt-Out Option: You have the right to opt out of this arbitration agreement within 30 days of first accepting these terms by notifying the platform in writing.
  10. Amendments: The platform reserves the right to modify this arbitration and dispute resolution policy, with any changes applying only to disputes arising after the modification date.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.
